Subcontractor Agreement
Introduction
This section does not apply if you're a client of adlerlagune OG. These terms apply to subcontractors. By working with adlerlagune OG (hereinafter "adlerlagune") as a subcontractor and/or receiving a work proposal from adlerlagune, you automatically agree to these terms that apply to freelance work. These terms are considered accepted and binding upon starting work or receiving a proposal, regardless of whether a separate freelance agreement has been signed.
Billable hours
Hours worked by subcontractors shall only be considered billable and invoiceable when the corresponding feature or task is complete and functioning as specified in adlerlagune's project tickets, provided design documents, written specifications, documented requirements, or as explicitly discussed and agreed upon with adlerlagune's representatives. Partial implementations, incomplete features, or implementations that do not meet the documented requirements shall not be considered billable until properly completed to adlerlagune's satisfaction.
Tracking and reporting hours
The subcontractor shall track and report their hours to adlerlagune accurately and maintain clear documentation of their work. Code reviews, testing, and documentation are considered integral parts of feature completion.
Gross misconduct
adlerlagune reserves the right to withhold payment for hours associated with gross misconduct. Gross misconduct includes, but is not limited to: Deliberate introduction of malicious code or security vulnerabilities, unauthorized copying or theft of adlerlagune's intellectual property, intentional deletion or corruption of project data or repositories, deliberate implementation of features in a way that creates technical debt or performance issues, misrepresentation of working hours or progress to adlerlagune, unauthorized access to adlerlagune's systems or data, sharing of adlerlagune's confidential project information with unauthorized parties, deliberate violation of adlerlagune's documented coding standards or architecture decisions, intentional obstruction of project progress or team collaboration, submission of invoices for incomplete or non-functional work without explicit disclosure.
Disputed hours
In cases of disputed hours, incomplete work, or gross misconduct, adlerlagune shall be entitled to: a) Terminate the subcontractor relationship immediately without notice, b) Consider all work produced during periods of gross misconduct as unbillable, c) Withhold payment for any work associated with the misconduct or incomplete deliverables, d) Require completion of unfinished or inadequate work without additional compensation, e) Offset any prepaid amounts against the cost of having another subcontractor complete or fix the work, f) Require the subcontractor to remedy any issues created at their own expense.
Project guidelines, coding standards, and best practices
The subcontractor acknowledges that by accepting work from adlerlagune, they agree to comply with all project guidelines, coding standards, and best practices as specified by adlerlagune. Payment shall be contingent upon successful completion of work to specification, and any defects or incomplete work shall be remedied without additional compensation.
Confidentiality
The subcontractor shall not publicly disclose, announce, reference, or otherwise communicate the collaboration with adlerlagune or any client of adlerlagune (including portfolio entries, social media, talks, resumes/CVs, or case studies) without prior written approval from adlerlagune. Any external communication about the work, project, or client must be coordinated through and explicitly approved by adlerlagune.
Non-compete and client contact
If a client of adlerlagune (or an affiliate thereof) contacts the subcontractor directly for work or collaboration, the subcontractor must immediately inform adlerlagune and shall not accept such work or enter into any agreement with the client without adlerlagune’s prior written consent. Any such opportunities must be referred back to adlerlagune.
Post-collaboration non-solicitation
Post-collaboration non-solicitation. For a period of three (3) years after the end of the subcontractor’s last engagement with adlerlagune, the subcontractor shall not directly or indirectly solicit, contact, or accept work from any client of adlerlagune (including affiliates) with whom the subcontractor became acquainted through the collaboration with adlerlagune, unless adlerlagune has provided prior written consent.
